Terms of Service

4.1 Registration

To use the Platform, cooperative administrators must register by providing accurate and complete information including a valid email address and cooperative name. You must verify your email address before accessing the Platform.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activity that occurs under your account
• Notifying us immediately at [email protected] if you suspect unauthorised access

Administrator credentials must not be shared between multiple individuals. Each person who requires access must have their own account.

4.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend accounts where we have reason to believe information is inaccurate or misleading.

5.1 Plans and Pricing

The Platform is offered on the following plans:

5.2 Trial Period

New cooperatives receive a 90-day free trial with full Platform access. No payment method is required during the trial. At the end of the trial period, the cooperative's account will revert to the Free plan unless a paid subscription is activated.

5.3 Billing

Subscriptions are billed monthly in advance. Payment is processed via our payment processor. By subscribing, you authorise us to charge your nominated payment method on a recurring monthly basis.

All prices are in Nigerian Naira (NGN) and inclusive of any applicable taxes. A platform service fee is added to each transaction to cover payment processing costs. The full amount you will be charged is displayed before you confirm any payment.

5.4 Failed Payments and Grace Period

If a subscription payment fails, your account will enter a 7-day grace period during which full access is maintained. If payment is not resolved within 7 days, your account will revert to the Free plan. Existing data is preserved — you will not lose any records. However, actions that exceed Free plan limits (such as new member invitations or new loan applications) will be blocked until a paid subscription is reinstated.

5.5 No Refunds

Subscription fees are non-refundable. If you cancel your subscription, you retain access until the end of the current billing period. No partial refunds are issued for unused portions of a billing period.

5.6 Plan Downgrades

If you downgrade to a lower plan and your current usage exceeds the new plan's limits, existing data is preserved but new actions that exceed those limits will be blocked until usage falls within the plan limits or you upgrade again.

6.1 User-Entered Data

The Platform computes financial positions, member worth, loan balances, and all other financial outputs based entirely on data entered by cooperative administrators and members. Nenfadz Technologies makes no representation as to the accuracy, completeness, or correctness of data entered by users.

6.2 Cooperative Responsibility

The cooperative and its administrators are solely responsible for:

• The accuracy and completeness of all data entered into the Platform
• Verifying that contribution records, loan records, and deduction records are correct before relying on them for any purpose
• Ensuring that financial reports generated by the Platform are reviewed and validated before presentation to members or any third party
• Any decisions made on the basis of information displayed on the Platform

6.3 No Financial Guarantee

Koinmuniti does not guarantee the accuracy of any financial calculation, report, or statement generated by the Platform. Financial outputs are only as accurate as the data entered. Cooperatives should independently verify all financial information before using it for any material purpose including but not limited to AGM presentations, member payouts, loan decisions, or regulatory filings.

8.1 Platform Ownership

The Platform, including all software, design, content, trademarks, and intellectual property, is owned by Nenfadz Technologies. These Terms do not transfer any intellectual property rights to you.

8.2 Your Content

You retain ownership of all data and content you enter into the Platform. By entering data into the Platform, you grant Nenfadz Technologies a limited licence to store, process, and display that data solely for the purpose of providing the Platform to you.

8.3 Feedback

If you provide feedback or suggestions about the Platform, we may use that feedback without any obligation to you.

10.1 No Liability for Data Accuracy

As stated in Section 6, Nenfadz Technologies has no liability whatsoever for losses, disputes, or damages arising from inaccurate, incomplete, or incorrect data entered by users.

10.2 Liability Cap

To the maximum extent permitted by applicable law, Nenfadz Technologies' total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Platform — whether in contract, tort, negligence, or otherwise — shall not exceed the total subscription fees paid by your cooperative in the 12 months preceding the claim.

10.3 Exclusion of Consequential Loss

Nenfadz Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

10.4 Service Availability

We do not guarantee that the Platform will be available at all times without interruption. We will make reasonable efforts to maintain availability but accept no liability for downtime, maintenance windows, or service disruptions beyond our reasonable control.

11.1 Termination by You

You may cancel your subscription at any time through the Platform settings. Cancellation takes effect at the end of the current billing period. Your data remains accessible until the end of the billing period.

11.2 Termination by Us for Cause

We may suspend or terminate your account immediately and without notice if:

• You breach any provision of these Terms
• You fail to pay subscription fees and the grace period has elapsed
• We have reason to believe your account is being used for illegal activity
• Continued operation of your account poses a risk to the Platform or other users

11.3 Termination by Us Without Cause

We may terminate your account for any other reason with 30 days written notice to your registered email address.

11.4 Effect of Termination

Upon termination:

• Your access to the Platform ceases
• You have 30 days to export your cooperative's data
• After 30 days, your data will be permanently deleted, subject to retention obligations under applicable law
• Subscription fees already paid are non-refundable

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nenfadz Technologies regarding the Platform and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

15.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
